The obligations of the parties to this Agreement are subject to the Receiver having received at or before Bank Closing evidence reasonably satisfactory to each of any necessary approval, waiver, or other action by any governmental authority with respect to this Agreement and the transactions contemplated hereby, the closing of the Failed Bank and the appointment of the Receiver, the chartering of the Bridge Bank and any other agreements or documents contemplated under this Agreement.
Neither the execution and delivery nor the performance by the Bridge Bank of this Agreement will result in any violation by the Bridge Bank of, or be in conflict with, any provision of any applicable law or regulation or any order of any court or governmental authority.
